Investor, Lender Advisory Out of Court
Mr. Tittle has provided services to investors and lenders outside of a court proceeding for a number of years. A substantial portion of this work has been due diligence and financial analyses in nature. Due diligence is an area to which John has devoted significant attention throughout his 30-plus year career. Valuation has also been another area of focus. In spite of the fact that investors and lenders are well equipped to conduct these analyses and complete these tasks on their own, sometimes an independent view is necessary. TAG can provide that independent view in a cost effective manner without a lot of “red tape.”
Representative Projects
Bank One as Agent for Bank Group – Financial Advisor on restructuring of a senior debt facility of €100 million involving international logistics company and subsidiaries. Work included the performance of a collateral analysis of accounts receivable and inventory; due diligence on historical financial information, including analysis around restructuring charges; due diligence and advice relative to the tax implications of the borrower’s restructuring plan, including both domestic and international tax issues; preparation of a liquidation analysis; development of a business plan assessment, including significant due diligence involving revenue and cost drivers and the execution of a market study; assisted in designing terms and conditions of terms sheets, including financial covenants; assisted in negotiations with the borrower, borrower’s financial advisors, and bondholders’ financial advisors; assisted in financial terms of the revised credit agreement to affect restructuring. The Bank Group has been paid in full and considers this a success.
Bank Group – Financial Advisor to Bank Group involving restructuring of the credit facility to an international Company that provides construction services to the oil and gas industry. The work related to due diligence on the borrowing base of Company to determine the appropriateness of items presented by the Company, preparation of a wind down scenario for the EXIM Bank guaranteed facility, preparation of a wind down scenario for the Company’s domestic facility, and general financial advice
CIT – Financial Advisor to CIT relative to assessment assignment involving due diligence performed on the business plan detailing the merger of Container-Care International and Global Intermodal Systems as requested by CTI. Our work included the monitoring of results of the combined company on a post-merger basis.
